These terms govern your use of the Outrider Georgia web application at outridergeorgia.com (the “Service”), operated by Outrider Commercial Productions, L.L.C. (“Outrider”). By creating an account or using the Service, you agree to them. If you are using the Service on behalf of a company or client, you represent that you are authorized to accept these terms on their behalf.
What the Service does
Outrider helps production companies, post-production companies, and tax credit buyers manage the Georgia film tax credit process: certification and audit workflow, transfer of credits between sellers and buyers, generation and signature of the associated agreements, invoicing, and filing of Form IT-TRANS with the Georgia Department of Revenue.
Outrider is not a law firm, an accounting firm, or a registered broker-dealer, and nothing in the Service is legal, tax, or investment advice. Tax credit purchases carry risk, including the risk that a credit is later reduced or disallowed. You are responsible for your own diligence and for consulting your own advisors.
Accounts
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. Tell us promptly at contact@outridergeorgia.com if you believe your account has been compromised.
A CPA or other representative may be granted access to act on behalf of a client. If you accept such access, you agree to act only within the authority your client has given you, and your client remains responsible for the transactions placed on their behalf.
Orders, pricing, and payment
An order for tax credits is not binding on Outrider until Outrider accepts it and issues an invoice. Credit availability, discount rates, and the mix of credits filling an order may change until an order is accepted. Invoices are issued and processed through QuickBooks Online; payment terms, accepted methods, and any wire instructions are stated on the invoice itself. Wire instructions will only ever come from an invoice inside the Service, and Outrider will never email you revised bank details. Verify by phone before sending funds.
Credits are transferred, and the corresponding IT-TRANS filed, after payment clears. Outrider is compensated on commission as described in your engagement or purchase documents, which control if they conflict with these terms.
Your content
You retain ownership of the documents and data you upload. You grant Outrider a license to store, process, and transmit them as needed to operate the Service and to complete filings with the Georgia Department of Revenue and Department of Economic Development on your behalf. You are responsible for having the right to provide anything you upload.
Acceptable use
Do not attempt to access accounts or data that are not yours, probe or disrupt the Service, upload malicious code, scrape the Service, or use it to violate the law. We may suspend access that threatens the Service or other users.
Availability, disclaimers, and liability
The Service is provided “as is,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Outrider does not warrant that the Service will be uninterrupted or error-free.
To the fullest extent permitted by law, Outrider is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost tax benefits. Outrider’s total liability arising out of or relating to the Service is limited to the commissions or fees you paid to Outrider in the twelve months before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.
Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these terms or where required by law. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability. Records we are required to retain for tax or regulatory purposes are kept as described in our Privacy Policy.
Changes
We may update these terms. Material changes will be reflected in the “last updated” date above, and continued use after a change means you accept it.
Governing law
These terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. The exclusive venue for disputes is the state and federal courts located in Georgia.
